We, the undersigned natural persons of the age of twenty-one years or more, acting as incorporators of a non-stock corporation, adopt the following Articles of Incorporation for such corporation pursuant to the provisions of chapter 2 of Title 13.1 of the Code of Virginia:
FIRST: The name of the corporation is STONEYBROOKE OF FAIRFAX COUNTY CITIZENS ASSOCIATION, INCORPORATED.
SECOND: The purpose for which the corporation is organized shall be to promote the interests of the residents of Stoneybrooke subdivision in improving our community, and in promoting the growth and development of the children residing in Stoneybrooke subdivision, and in living in a friendly community.
THIRD: The corporation is to have members, who as established in the By-Laws, shall be residents of the Stoneybrooke subdivision and who have fully paid all dues.
FOURTH: Each member shall be entitled to one vote.
FIFTH: The manner in which directors shall be elected or appointed shall be provided in the By-Laws.
SIXTH: Provisions for the regulations of the internal affairs of the corporation, including provisions for distribution of assets on final liquidation are as stated in the By-Laws.
SEVENTH: The post office address of the initial registered office is 3904 Stone Mansion Court, Alexandria, Virginia (22306). The name of the county in which the initial registered office is located is Fairfax. The name of the initial registered agent is Mrs. Janet Kalivretenos who is a resident of Virginia and a director of the corporation.
EIGHTH: The number of directors constituting the initial board of directors is six (6) and the names and addresses of the persons who are to serve as the initial directors until the first annual meeting or until their successors be elected and qualified are: Richard E. May, 3902 Stone Mansion Court, Major Frank W. Curtis, 6830 Stoneybrooke Lane, Mrs. Janet Kalivretenos, 3904 Stone Mansion Court, Francis J. Lamarra, 3806 Stoneybrooke Court, Col. Henry Ennen, 3907 Stone Mansion Court, Mrs. Lois McFall, 3805 Stoneybrooke Court. All of Alexandria, Virginia (22306).
